Roberta Bassegio

Roberta Bassegio is a partner in the Energy and Project Finance practices of Paul Hastings and is chair of the firm’s São Paulo office. She practices in the areas of project development and finance, focusing on infrastructure and natural resources. She has represented sponsors, investors, financial institutions, construction conglomerates, and suppliers in some of the most prominent infrastructure projects in Brazil. Her experience also encompasses project structuring, mergers and acquisitions, regulatory and corporate advice, as well as construction and equipment supply agreements. Ms. Bassegio has substantial experience in the power industry, including renewables, in both traditional and greenfield projects.

Among other projects, Ms. Bassegio has assisted high-profile clients in several acquisitions and energy auctions for wind, hydro and thermal power plants, as well as large power consumers within a variety of industries in their power purchase strategies and self-producing power projects. She represented different construction conglomerates in the investment structuring and negotiation of the construction contracts for the Teles Pires and the Belo Monte power plants. She also assisted clients in the logistics sector in the project development and construction of an ethanol pipeline designed to bring ethanol to major consumer centers and ports for export, and in the development of a major port complex in the State of Rio de Janeiro.

Prior to joining Paul Hastings, Ms. Bassegio was a partner in the Infrastructure and Projects and Energy practices at another law firm in Brazil. She also worked with the banking and projects department at an international law firm in New York.

Charin’s practices focus mainly on capital markets, Public Private Partnerships, project and project finance, financial regulations, mergers and acquisitions and real estate, both in Thailand and the regions (including Laos and Myanmar).

He also has expertise in the infrastructure sector (in particular, airport and power project), financial and insurance sector, airport and aviation and also property sector.

He has represented clients in establishment of several property funds for public offering or so called Real Estate Investment Trusts that raised funds from local and international investors to invest in real estate projects in various categories, which include shopping malls, factories, office buildings, residential buildings and hotels.

He has also represented clients in establishment of infrastructure fund to invest in infrastructure assets, including the power plants and airport.

He has represented client in several projects and project finance both in Thailand and Laos, which include project finance for power plants, a refinancing of oil refinery, a project finance of ethanol plant.

He has represented major commercial banks in Thailand in raising funds from domestic and international capital markets. He has also represented commercial banks in establishing asset management companies and the sales of non-performing loans.

Public Private Partnerships and Privatization

Charin has been retained as a National Consultant in Thailand by Asian Development Bank to work with other international consultants to advise the Thai Government on the Public Private Partnerships for the Government projects (including motorways nationwide). He has also represented clients in several BOT and BTO projects.

Airport and Aviation

He has represented the fund manager and the sponsor in setting up the Samui Airport Property Fund, the first property fund in Thailand that invested in the airport, and has offered investment units to international and domestic investors.

Ariel Ramos

Ariel Ramos is a partner in the Finance Practice Group at Haynes and Boone, SC in Mexico City. He primarily focuses on transactions related to the development and financing of infrastructure projects, including, among others, power, oil and gas, liquefied natural gas (LNG), government procurement, public-private partnerships (PPP or Proyectos de Prestación de Servicios), toll roads, maritime ports and terminals, water treatment plants, aqueducts and shipping. In addition, he has deep experience and actively participates in real estate, mergers and acquisitions and corporate and debt restructuring matters.

Ariel has advised lenders, developers, buyers and sellers, and governmental entities in transactional negotiations; assisted in preparation of corporate documentation and risk identification, assessment and allocation; advised on negotiation and instrumentation of project agreements, including concessions, power purchase agreements (PPA), long-term service contracts (CPS), long-term supply contracts, public private partnership agreements (PPS), public financed works (OPF), engineering, procurement and construction contracts (EPC), operation and maintenance contracts (O&M), fuel and gas supply and transportation agreements; advised on design and implementation of schemes for the development and financing of infrastructure projects, including preparation of financing and security agreements; performed analysis of permits and governmental authorizations required for the development of projects and real estate transactions; and bid processes and preparation of the bid proposals, among others.
