Michael J. Fritz

Michael Fritz practices in the area of business, finance and real estate.

Michael’s business and corporate practice consists of representing private equity funds, venture capital funds, and other business entities in connection with a variety of commercial transactions, including, mergers, acquisitions and dispositions, joint ventures, preferred equity investments, distressed investments and private placements.  Michael also represents clients in the capacity as “outside general counsel”, advising on matters such as business formation, corporate governance, business operations, commercial contracting and other general corporate matters.  His clients are in a broad range of industries including real estate, healthcare, technology, financial services and manufacturing.

In his finance practice, Michael represents borrowers, commercial banks, mezzanine lenders, and other lending institutions in connection with structuring, negotiating, and closing complex commercial, asset-based, and acquisition financing transactions.  He also has experience representing senior and junior lenders in connection with drafting and negotiating intercreditor and subordination arrangements.

Michael’s real estate practice focuses on transactional commercial real estate matters, including the purchase, development and disposition of real estate assets, mortgage and mezzanine financings, preferred equity investments, and the formation of joint ventures. Michael also has significant experience representing borrowers and lenders in connection with working out and restructuring distressed real estate loans and investments.

Mark W. Heaphy

Mark is a nationally recognized outsourcing lawyer and is Chair of the firm’s Outsourcing and Technology Practice Group and Co-chair of the India Practice Group, where he counsels clients in complex international transactions related to outsourcing, software, robotics, and the cloud.

Mark has significant expertise in all aspects of sourcing and procurement, from the initial RFP through implementation, go-live, and beyond. Clients rely on Mark to help them structure and negotiate complex commercial relationships and outsourcing strategies throughout the world.

He has worked on hundreds of sole-sourced and competitively bid transactions, including business process and information outsourcing, robotics and digital automation, software development and licensing, joint ventures and strategic alliances, and distribution and cross-border technology transfers. Mark also helps clients navigate the complex web of global privacy and security regulations and mitigate cyber threats and related data security challenges.

Mark is regularly honored in Best Lawyers in America for technology law and is ranked nationally by Chambers USA. He frequently lectures on outsourcing, licensing, and privacy issues and also served as an adjunct professor at Connecticut’s Quinnipiac School of Law for more than a decade, where he taught intellectual property, computer law, and the law of cyberspace.

Paul Levin

Attorney Levin has been admitted to practice law in the State of Connecticut since 1989 and in New York Federal district court since 1992. 

He is a member of the Connecticut Trial Lawyers Association, The Connecticut Bar association and the National Association for for American Justice. Prior to establishing his own law firm Attorney Levin was associated with the Hartford, CT based law firm or Calvocoressi & Gale.

Attorney Levin is rated by AVVO ( Independent Lawyer Research Organization) as “Superb” and has recently been recognized by Hartford Magazine as a Top Personal Injury lawyer in the Greater Hartford, CT area ( 2010) .
