Professional Biography
Barbara has a broad corporate/commercial practice with specialties in securities, capital markets, corporate finance, and mergers and acquisitions. Her focus over the last decade has been on foreign direct investment and cross-border M&A.
Barbara is actively involved in dispute resolution, settling, and providing support in prosecuting litigious matters. She has been able to use her experience and practice exposure to give expert opinions for both the insurer and litigants on whether professional standards have been met. These opinions have been relied on in settlement discussions between litigants as well as by the court in making its determination.
Barbara has acted for issuers, controlling shareholders, independent committees, and registrants. She has experience with transactions relating to corporate acquisitions, divestitures, and reorganizations with securities, regulatory, competition, and Investment Canada implications.
Barbara has a wealth of experience in cross-border mergers and acquisitions. Barbara’s strength is her ability to help clients plan, orchestrate, and successfully implement complex transactions within time-sensitive, regulated environments.
As a result of her foreign direct investment practice, Barbara has advised international clients on establishing and expanding their businesses in Canada. She has often, and over extended periods of time, acted as a type of external general counsel in Canada and as a board member. She has helped clients navigate the varied legislative compliance required in a federation like Canada with its one federal and thirteen provincial and territorial regimes. She has cultivated working relationships with lawyers all across Canada and globally, whom she relies on, as required, to give the highest quality, efficient and responsive service to clients to facilitate their operations in the Canadian environment.
