Aparajit Bhattacharya is a Partner of HSA Advocates (formerly Hemant Sahai Associates) and is actively involved in diverse assignments in the corporate M&A and transaction advisory space, the infrastructure and energy space, cross border transactions and CDM project advisory.
Aparajit has led diverse assignments / transactions in the corporate commercial transaction advisory / M&A and cross border transaction space, including of public listed companies, strategic and private equity investments, management buy-outs and corporate restructuring transactions and joint ventures. Aparajit joined the firm in 2004. He heads HSA’s – Corporate M&A Practice Group as well as HSA’s Environmental & CDM Practice Group, since its inception, and has handled largest portfolios amongst law firms in India, in this specialized area.
Prior to joining HSA, Aparajit was working as an Associate with Trilegal with its New Delhi office since January 2003. He started his professional career as an in-house legal counsel with Hindustan Unilever Limited, one of the largest multi-national FMCG companies in India, based out of Mumbai. He is enrolled with Bar Council of Delhi and is also a member of the Delhi High Court Bar Association.
He has advised, extensively negotiated and closed deals for a select portfolio of high-profile clients (domestic as well as international) on a range of matters involving share purchase / asset purchase / business acquisitions, corporate reorganization, restructuring transactions, joint ventures and business collaborations, sourcing/procurement and real estate acquisition and investment transactions, etc. He has on behalf of clients independently interacted with regulators and regulatory bodies to enable smooth execution of corporate-commercial transactions.
He has advised both private equity firms on various commercial transactions, as well as facilitated private equity investment for companies. The assignments have typically involved structuring the transaction and ensuring its efficiency from a legal and tax perspective, as also, advising on the relevant foreign exchange regulations which would have had a bearing on the proposed investment.
Aparajit has been advising on structuring of transactions, conducting due diligence, drafting and negotiating transaction documents, obtaining governmental and regulatory approvals, structuring of focused funds and advising on diverse legal and regulatory issues arising in relation thereto, advising on SEBI related rules and regulations, including under the SEBI Takeover Code, advising and structuring acquisition of overseas companies, businesses and/or assets by Indian corporates, advising on overseas listing of securities by Indian corporates, including ADR and GDR issues, applicable Indian regulatory environment, drafting and negotiating transaction agreements, including shareholders’ agreements, share acquisition and subscription agreements, depository agreements and related legal, regulatory and commercial advice.
